Terms of Service for Northline Frameworks Studio
Effective Date: July 3, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, website, content, facilities, and related offerings provided by Northline Frameworks Studio (“Northline Frameworks Studio,” “we,” “us,” or “our”), a production-studio business located at 2150 West 4th Avenue, Vancouver, BC V6K 1N6, Canada.
By booking, engaging, accessing, or using any service provided by Northline Frameworks Studio, including commercial video production, studio photography sessions, creative concept development, motion graphics and post-production, product and brand content shoots, and podcast recording support, you agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms form a legally binding agreement between you and Northline Frameworks Studio. If you are using our services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Scope of Services
Northline Frameworks Studio provides creative production services, which may include, without limitation:
- Commercial video production;
- Studio photography sessions;
- Creative concept development;
- Motion graphics and post-production;
- Product and brand content shoots; and
- Podcast recording support.
The exact scope, deliverables, timelines, usage rights, revision limits, and technical specifications for each project will be set out in a proposal, estimate, statement of work, booking confirmation, or other written agreement issued by Northline Frameworks Studio (collectively, the “Project Agreement”).
Any services not expressly included in a Project Agreement are excluded unless agreed to in writing by Northline Frameworks Studio. We may subcontract or engage third-party specialists, vendors, or equipment providers as reasonably necessary to deliver the services.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when booking or communicating with us;
- Cooperate promptly with requests for approvals, materials, feedback, and access to locations or assets;
- Ensure that any content, materials, logos, music, images, scripts, talent releases, or other items you provide do not infringe the rights of any third party;
- Obtain all necessary permissions, permits, consents, releases, and authorizations required for your project, unless Northline Frameworks Studio has expressly agreed in writing to obtain them;
- Comply with all applicable laws, regulations, and safety requirements when attending our studio or participating in a shoot or recording session;
- Not interfere with our equipment, personnel, or operations; and
- Not use our services for unlawful, defamatory, obscene, harassing, misleading, or infringing purposes.
You are responsible for reviewing all deliverables promptly and providing consolidated feedback within the timeframe specified in the Project Agreement. Delays in feedback, approvals, or provision of materials may result in schedule changes, additional fees, or project suspension.
If you or your guests damage studio property, equipment, or third-party property, you may be responsible for repair or replacement costs to the extent permitted by law.
4. Payment Terms and Conditions
Fees, deposits, payment milestones, and any applicable taxes will be stated in the Project Agreement or invoice. Unless otherwise agreed in writing:
- A non-refundable deposit may be required to secure a booking;
- All amounts are payable in Canadian dollars (CAD);
- Invoices are due on the date specified on the invoice or, if not specified, within 14 days of issuance;
- Work may be paused or withheld if payment is overdue;
- Late payments may accrue interest at the maximum rate permitted by applicable law, or if no rate is specified, at 2% per month compounded monthly, where lawful;
- You are responsible for all bank charges, transfer fees, chargeback fees, and collection costs incurred by Northline Frameworks Studio in connection with overdue amounts.
Estimates are based on the information available at the time of quotation. If project requirements change, or if additional time, revisions, reshoots, editing, licensing, or production resources are required, Northline Frameworks Studio may issue a revised estimate or additional invoice.
Unless expressly stated otherwise, all fees are exclusive of GST/HST/PST and any other applicable taxes, which will be added where required by law.
5. Cancellation and Refund Policy
Cancellations must be made in writing. Because production services involve reserved time, staffing, and preparation, cancellation fees may apply. Unless otherwise stated in the Project Agreement:
- Cancellations made more than 14 days before the scheduled service date may forfeit the deposit;
- Cancellations made 7 to 14 days before the scheduled service date may be charged up to 50% of the total project fee;
- Cancellations made less than 7 days before the scheduled service date may be charged up to 100% of the total project fee;
- No-shows or failure to provide access, materials, or required approvals may be treated as a late cancellation;
- Third-party costs already incurred, including rentals, permits, talent, locations, catering, travel, and subcontractor fees, are non-refundable.
Refunds, if any, are issued only at the sole discretion of Northline Frameworks Studio and only where required by law or expressly stated in a Project Agreement. Completed work, partially completed work, and custom creative services are generally non-refundable.
If Northline Frameworks Studio must cancel due to illness, equipment failure, safety concerns, or other operational reasons, we will use commercially reasonable efforts to reschedule. If rescheduling is not possible, any prepaid fees for undelivered services will be refunded, less non-recoverable third-party costs already incurred on your behalf.
6. Liability Limitations
To the fullest extent permitted by applicable law, Northline Frameworks Studio, its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or reputational harm, arising out of or relating to the services or these Terms.
To the fullest extent permitted by law, the total aggregate liability of Northline Frameworks Studio for any claim arising out of or relating to the services, whether in contract, tort, negligence, strict liability, or otherwise, will not exceed the amount paid by you to Northline Frameworks Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for gross negligence, wilful misconduct, fraud, or any liability that cannot lawfully be excluded under applicable Canadian law.
You acknowledge that creative production services are inherently subjective and that Northline Frameworks Studio does not guarantee any particular commercial outcome, audience response, platform approval, or business result.
7. Intellectual Property Rights
Unless otherwise agreed in writing, Northline Frameworks Studio retains all right, title, and interest in and to its pre-existing intellectual property, including methods, workflows, templates, tools, software, editing techniques, concepts, and know-how.
Upon full payment of all amounts due, and subject to any third-party rights, Northline Frameworks Studio will grant you the usage rights expressly set out in the Project Agreement for the final deliverables. No rights are transferred to you except those expressly granted in writing.
Raw footage, project files, source files, working files, project timelines, and editable assets remain the property of Northline Frameworks Studio unless the Project Agreement states otherwise. We are not obligated to provide raw files or source files unless expressly included in the scope.
You represent and warrant that any materials you provide to us do not infringe the intellectual property, privacy, publicity, or other rights of any third party. You grant Northline Frameworks Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and process such materials solely for the purpose of performing the services.
Unless you notify us in writing before the project begins, you grant Northline Frameworks Studio the right to display completed work, behind-the-scenes content, stills, excerpts, and project descriptions in our portfolio, website, social media, pitch materials, and promotional channels, subject to any confidentiality obligations in the Project Agreement.
8. Data Protection and Privacy
Northline Frameworks Studio collects, uses, stores, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws, as relevant.
We may collect personal information such as names, contact details, billing information, project preferences, images, voice recordings, and other information necessary to provide our services, manage bookings, communicate with you, process payments, and comply with legal obligations.
We use reasonable administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, disclosure, alteration, or destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
We may share personal information with trusted service providers, payment processors, cloud storage providers, contractors, and other third parties as needed to deliver services or operate our business, subject to confidentiality and data protection obligations where appropriate.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and in any applicable privacy notice provided by Northline Frameworks Studio. If you provide personal information about others, you represent that you have the authority and necessary consents to do so.
9. Force Majeure
Northline Frameworks Studio will not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, severe weather, power outages, internet or telecommunications failures, labour disputes, government actions, public health emergencies, equipment shortages, transportation disruptions, civil unrest, war, terrorism, or the failure of third-party suppliers or venues.
If a force majeure event occurs, Northline Frameworks Studio may suspend performance, reschedule services, or terminate the affected Project Agreement if the event continues for an unreasonable period. Any prepaid fees for undelivered services will be handled fairly, taking into account non-recoverable costs already incurred.
10. Changes to Terms
Northline Frameworks Studio may update or modify these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The revised Terms will be effective when posted on our website or otherwise communicated to you, unless a later effective date is stated.
Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any Project Agreement will be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to any mandatory consumer protection laws or other non-waivable rights, you agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction and venue over any dispute arising from or relating to these Terms or the services.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable, it will be interpreted and enforced to the maximum extent permitted by law in a manner that most closely reflects the original intent of the provision.
These Terms constitute the entire agreement between you and Northline Frameworks Studio regarding the subject matter hereof, except where supplemented by a Project Agreement or other written agreement signed or accepted by Northline Frameworks Studio.
